Usage Plan Billing Terms

These Usage Plan Billing Terms apply to usage plans purchased under the OneCrew Terms of Service (the “Terms”) between OneCrew Software, Inc. (“OneCrew”) and Customer. They form part of the Agreement as provided in Section 4.5 of the Terms. Capitalized terms not defined here have the meanings given in the Terms.
1. Applicable plan and pricing
These Usage Plan Billing Terms apply only to a usage plan Customer purchases. The applicable Order identifies the purchased plan and its price, included allowance and overage rate. Prices and quantities expressly stated in the Order control over conflicting provisions of these Usage Plan Billing Terms, subject to updates permitted by Section 14.12 of the Terms. Purchasing a usage plan does not change the term or renewal date of Customer’s annual subscription.
2. Enhanced Map Imagery
2.1 Monthly allowance.
The monthly acreage allowance, plan fee and overage rate are those accepted by Customer when selecting its Enhanced Map Imagery usage plan. Allowances reset on the first day of each calendar month. Any unused acreage allowance expires at the end of each calendar month and does not carry forward to the next month. The plan fee and accrued overages are charged at month-end to Customer’s designated payment method. Overage charges equal the acres used in excess of the applicable allowance multiplied by the applicable overage rate.
2.2 Changes during a month.
A change to the usage plan takes effect when Customer confirms it. Except as provided in Section 2.3 upon cancellation, the plan fee, acreage allowance and overage rate in effect at month-end determine the charges for that calendar month, including all acreage used before any plan change. The plan fee and acreage allowance are not prorated based on the number of days each plan was in effect during that month. A downgrade may convert usage covered by the prior allowance into an overage and increase the total monthly charge.
2.3 Renewal and cancellation.
The usage plan automatically renews on the first day of each calendar month unless Customer cancels before that date using the methods permitted by Section 13.1 of the Terms, including by emailing accounts@getonecrew.com. Cancellation prevents renewal for the next calendar month and subsequent months. Customer may use the remaining acreage allowance through month-end, subject to the annual subscription remaining in effect, and remains responsible for that month’s charges. If Customer cancels before month-end, the plan fee, acreage allowance and overage rate in effect immediately before cancellation apply to that month’s usage. Expiration or termination of the annual subscription also ends the associated usage plan, without relieving Customer of accrued charges. Canceling the usage plan does not end the annual subscription.
3. Updates
Updates to these Usage Plan Billing Terms and Fees for monthly usage-based plans are governed by Section 14.12 of the Terms.
